Role Overview
We are seeking a Tax Manager with strong expertise under the Income Tax Act, 1961, who will be responsible for end-to-end direct tax management including tax planning, litigation, compliance, M&A structuring, and valuation support. The role requires close coordination with finance, legal, business development, and external advisors.
Key Responsibilities
Direct Tax Compliance & Advisory
- Manage end-to-end compliance under the Income Tax Act, 1961 including computation of taxable income, tax provisions, advance tax, and return filings.
- Handle tax audit coordination, notices, assessments, rectifications, and appellate proceedings.
- Provide ongoing tax advisory to business teams on transactions, contracts, and operational matters.
- Ensure compliance with withholding tax (TDS/TCS) provisions including reconciliation and reporting.
Tax Accounting & Reporting (Listed Entity Environment)
- Support quarterly and annual tax provisioning (current & deferred tax) in accordance with Ind AS / financial reporting requirements.
- Work closely with statutory auditors and internal stakeholders for tax disclosures.
- Monitor changes in tax laws and evaluate impact on the organization.
Mergers & Acquisitions / Business Restructuring
- Evaluate tax implications of M&A transactions, slump sales, share acquisitions, business transfers, and group restructuring.
- Assist in tax due diligence, transaction structuring, and post-merger integration from a tax standpoint.
- Coordinate with investment bankers, legal advisors, and consultants on deal execution.
Valuation & Strategic Projects
- Support valuation exercises including fairness opinions, impairment analysis inputs, and tax-efficient structuring of investments/divestments.
- Assist in reviewing the financial models and tax sensitivity analysis for strategic transactions.
- Provide tax inputs for fund raising, IPO/FPO, QIP, and strategic partnerships where applicable.
Litigation Management
- Manage tax litigation strategy, drafting submissions, and representing matters before tax authorities along with external counsels.
- Track contingent liabilities and maintain litigation documentation.
Process Improvement & Controls
- Strengthen internal tax controls, documentation standards, and compliance calendars.
- Drive automation initiatives in tax reporting and reconciliation processes.
- Desired Candidate Profile
Qualification
Chartered Accountant (CA) – Mandatory
Additional qualification in valuation / finance (e.g., CFA Level / Registered Valuer) will be an advantage
Experience
5–6 years of relevant experience in direct taxation (preferably Big4)
Prior experience in renewable energy / infrastructure / power sector / listed company preferred
Exposure to M&A transactions and valuation assignments is additional advantage
Technical Skills
Strong knowledge of Income Tax Act, 1961, judicial precedents, and tax structuring concepts
Working knowledge of financial modelling and valuation methodologies
Proficiency in Excel and tax / ERP systems
